Terms of Service

You must be at least 18 years old and able to form a binding contract to create an account, purchase a device, or manage a plan. The Services are designed to be set up and managed by a parent, legal guardian, or other responsible adult (the "Account Owner") on behalf of a child or family member who uses the device.

By adding a child or other user to your account, you represent that you are the parent or legal guardian of that child, or that you otherwise have the authority and legal right to provide the device and consent to our collection and use of information as described in our Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information and to keep it up to date. Notify us immediately at info@vibetext.com if you suspect any unauthorized use of your account.

vibeTEXT devices require an active service plan to function. Plan pricing, billing intervals, and renewal terms are presented at the time of purchase. Unless otherwise stated, subscription plans automatically renew at the end of each term at the then-current rate until cancelled. You authorize us and our payment processor to charge your payment method for all applicable fees.

Cellular connectivity is provided through third-party carriers and networks. We do not guarantee uninterrupted or error-free service, and coverage, speed, and availability may vary by location and conditions outside our control.

All fees are stated in U.S. dollars and are exclusive of applicable taxes unless otherwise noted. You are responsible for any taxes associated with your purchase. Hardware returns and refunds are governed by our Shipping & Returns policy. Except as required by law or expressly stated, subscription fees are non-refundable.

You agree not to, and not to allow any user of your device to:

• Use the Services for any unlawful, harmful, or fraudulent purpose;
• Send content that is abusive, harassing, threatening, obscene, or that infringes the rights of others;
• Interfere with, disrupt, reverse engineer, or attempt to gain unauthorized access to the Services, devices, or related systems;
• Resell, rent, or commercially exploit the Services without our prior written consent; or
• Use the Services in a way that violates any applicable law or regulation.

We may suspend or terminate access to the Services for conduct that we reasonably believe violates these Terms or creates risk or possible legal exposure for us or other users.

Certain features, such as SOS alerts and location sharing, are provided to help families stay connected and to assist during emergencies. These features depend on cellular connectivity, GPS availability, device battery, and third-party networks, and they may be delayed, inaccurate, or unavailable.

The Services are not a substitute for emergency services (such as 911) or for professional medical, safety, or security services. Do not rely on the Services as your sole means of obtaining emergency assistance.

The Services, including all software, content, designs, logos, and trademarks, are owned by vibeTEXT or our licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended personal, non-commercial purpose, subject to these Terms. All rights not expressly granted are reserved.

You and users of your device may send messages and other content through the Services. You retain ownership of your content, and you grant us a limited license to host, transmit, store, and process it solely to provide and improve the Services. You are responsible for the content sent through your account.

The Services rely on third-party providers, including cellular carriers, payment processors, and messaging providers. Your use of those services may be subject to their own terms and policies. We are not responsible for the acts or omissions of third-party providers.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, vibeTEXT AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless vibeTEXT from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.

We may modify the Services or these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Michigan, unless otherwise required by applicable law.
